Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and logNsec LLC, a limited liability company organised under the laws of the State of Wyoming, United States ("logNsec", "we", "us", "our"), the provider of Koklo Nya — farm-management software for commercial poultry operations (the "Service"), available at www.koklonya.com and app.koklonya.com and via our mobile apps. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Who may use the Service
You must be at least 18 years old and able to form a binding contract. If you use the Service on behalf of a business or other organisation (a "Customer"), you represent that you are authorised to bind that organisation, and "you" refers to that organisation. A Customer's account may have multiple authorised users ("Authorised Users"); the Customer is responsible for their acts and omissions.
2. Accounts and security
You agree to provide accurate information, keep your credentials confidential, and enable multi-factor authentication where offered. You are responsible for all activity under your account. Tell us promptly at hello@koklonya.com if you suspect unauthorised use. We may suspend access to protect the Service or other users.
3. Your right to use the Service
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription, for your own internal business purposes.
4. Acceptable use
You must not: use the Service unlawfully or without a lawful basis for the data you enter; upload malware or attempt to breach security; probe, scrape, or reverse-engineer the Service except to the extent the law permits; interfere with other customers or the Service's operation; resell or provide the Service to third parties without our written consent; or misrepresent your identity. We may investigate and take action, including suspension or termination, for suspected violations.
5. Your data
As between you and us, you own the data you and your Authorised Users submit to the Service ("Customer Data"). You grant us a licence to host, process, and transmit Customer Data solely to provide and support the Service. For personal data within Customer Data, you are the data controller and logNsec is the data processor; that processing is governed by our Data Processing Agreement and described in our Privacy Policy. You may export your data and request deletion as described there; some financial and statutory records are retained as the law requires, detached from the individual.
6. Our intellectual property
The Service, including its software, design, and content (excluding Customer Data), is owned by logNsec and its licensors and is protected by law. These Terms grant you no rights to our trademarks or brand. If you send us feedback or suggestions, you grant us a perpetual, royalty-free licence to use them without obligation to you.
7. Fees, billing, and renewals
Paid plans are billed in advance for the subscription period (monthly or annual) at the prices for your plan. Prices shown on the website are indicative until confirmed at checkout or in a written order. Payments are collected through our payment providers (for example card networks and mobile-money providers such as MTN MoMo); you authorise recurring charges. Subscriptions renew automatically for successive periods unless cancelled before the renewal date. Fees are exclusive of taxes, which you are responsible for where applicable. We may change prices for future periods with reasonable prior notice.
8. Refunds and cancellation
New paid subscriptions include a 14-day money-back guarantee; after that, fees are non-refundable, and cancelling stops future renewals while your access continues to the end of the paid period. Full details are in our Refund & Cancellation Policy, which forms part of these Terms.
9. Free plans and trials
Where we offer a free plan or trial, it is provided "as is", may have feature or usage limits, and may be changed or withdrawn at any time. We may also change or discontinue features of the paid Service, using reasonable efforts to avoid materially reducing core functionality during a paid period.
10. Suspension and termination
You may stop using the Service and cancel at any time. We may suspend or terminate access if you materially breach these Terms, fail to pay, or use the Service in a way that risks harm or legal liability. On termination, your right to use the Service ends; you may export Customer Data for a reasonable period before deletion, after which data is deleted or anonymised as described in the Privacy Policy and DPA, subject to statutory retention.
11. Warranties and disclaimers
We provide the Service with reasonable skill and care, but except as expressly stated, the Service is provided "as is" and "as available". We do not warrant that it will be uninterrupted, error-free, or fit for a particular purpose. Koklo Nya is a record-keeping and management tool, not a substitute for professional accounting, tax, legal, or veterinary advice; you are responsible for decisions you make using it and for meeting your own regulatory obligations.
12. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, or consequential losses, or loss of profit, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Service is limited to the fees you paid to us for the Service in the 12 months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law (including for fraud or death or personal injury caused by negligence).
13. Indemnity
You will indemnify us against claims, losses, and reasonable costs arising from your Customer Data, your use of the Service in breach of these Terms, or your violation of law or third-party rights.
14. Confidentiality
Each party may receive the other's confidential information and will protect it with reasonable care, use it only to perform under these Terms, and not disclose it except to those who need it and are bound to confidentiality, or where legally compelled.
15. Changes to these Terms
We may update these Terms as the Service and the law evolve. We will post the updated version here and change the "Last updated" date, and give reasonable notice of material changes. Your continued use of the Service after changes take effect means you accept them.
16. Governing law and disputes
These Terms and any dispute arising out of or in connection with them are governed by the laws of the Republic of Ghana, and the parties submit to the exclusive jurisdiction of the courts of Ghana. The parties will first try in good faith to resolve any dispute informally by contacting each other. Nothing here limits any mandatory consumer or data-protection rights you have under Ghanaian law.
17. General
These Terms, together with the Privacy Policy, DPA, Refund Policy, and any order or written agreement with us, are the entire agreement between us regarding the Service. If any provision is unenforceable, the rest remains in effect. We may assign these Terms in connection with a merger or sale of assets; you may not assign without our consent. Our failure to enforce a right is not a waiver. Neither party is liable for delays caused by events beyond its reasonable control. Notices to us should go to hello@koklonya.com.
